Source text - English NOW, THEREFORE, THE PARTIES HEREBY AGREE as follows.
1. Definitions and interpretation
1.1 The capitalised and upper-case terms and expressions used in this Mandate Agreement shall, except where the context otherwise requires and save where otherwise defined therein, have the meaning ascribed to them in Schedule 1 (Definitions).
1.2 The headings in this Mandate Agreement shall not affect its interpretation. References to Clauses, Schedules, Sections and paragraphs in this Mandate Agreement shall, unless the context otherwise requires, be construed as references to the Clauses of, Schedules to and Sections and paragraphs of this Mandate Agreement.
1.3 Unless the context otherwise requires, any reference in this Mandate Agreement to:
(i) within the context of the Securitization, any agreement, deed or document shall be construed as a reference to the relevant agreement, deed or document as the same may have been, or may from time to time be, replaced, extended, amended, varied, novated, supplemented or superseded in accordance with its terms and includes any agreement, deed or other document expressed to be supplemental to it, as from time to time so extended, amended, varied or novated;
(ii) any statutory provision or legislative enactment shall be deemed also to refer to any re-enactment, modification or replacement thereof and any statutory instrument, order or regulation made thereunder or under any such re-enactment;
(iii) any reference to any party shall include references to its successors, permitted assignees and any person deriving title under or through it; references to the address of any person shall, where relevant, be deemed to be a reference to its address, as current from time to time; and
(iv) any reference to tax or taxes shall be construed so as to include any stamp duty, transfer, withholding or other tax, levy, impost, duty, fee or other charge of a similar nature (including, any penalty or interest payable in connection with any failure to pay or any delay in paying any of the same).
2. Appointment of the Collection Service Provider
Appointment and duties of the Collection Service Provider
2.1 The Special Servicer hereby appoints SCM as a Collection Service Provider of the Securitisation with respect to the Healthcare Receivables contained in the Portfolios entrusting it with the duties of, and conferring to it the powers for, carrying out, in this capacity, all activities, functions and services set out in Schedule 2 (Special Servicing Activities). In carrying out the Special Servicing Activities, SCM as Collection Service Provider shall act as agent in the name and on behalf of the Special Servicer (“mandatario con rappresentanza”), also in the interest of the Issuer and the Representative of the Loan Noteholders (acting for itself and in the name and on behalf of the Loan Noteholders and the Other Issuer Creditors as defined in Schedule 1 (Definitions)) in accordance with article 1723, paragraph 2 of the Italian Civil Code (“mandato anche nell’interesse del terzo”), the applicable laws and regulations (including, for the avoidance of doubt, the Securitisation Law and the Implementing Regulations), in accordance with the Collection Policies set out in Schedule 3 (Collection Policies) and the terms and conditions of this Mandate Agreement.

1.1 I termini ed espressioni maiuscole utilizzati nel presente Contratto di Mandato, salvo se richiesto diversamente dal contesto e salvo diversa definizione in esso contenuta, hanno il significato loro attribuito in Allegato 1 (Definizioni).
1.2 I titoli del presente Contratto di Mandato non modificano la sua interpretazione. I riferimenti alle Clausole, Allegati, Sezioni e paragrafi del presente Contratto di Mandato, salvo se richiesto diversamente dal contesto, devono essere intesi come riferimenti alle Clausole, Allegati, alle Sezioni e paragrafi del presente Contratto di Mandato.
1.3 Fatto salvo per diversa necessità del contesto, qualsiasi riferimento nel presente Contratto di Mandato a:
(i) nell'ambito della Cartolarizzazione, ogni accordo, atto o documento deve essere inteso facendo riferimento all’accordo, atto o documento corrispondente, che talvolta può essere sostituito, ampliato, emendato, modificato, rinnovato, integrato o sostituito in conformità con i suoi termini e include qualsiasi accordo, atto o altro documento dichiarato integrativo che talvolta può essere esteso, emendato, modificato o rinnovato;
(ii) qualsiasi disposizione di legge o atto legislativo fa riferimento anche a un eventuale nuova attuazione, modifica o sostituzione e a qualsiasi atto legislativo, ordine o regolamento emanato a seguito o in virtù di tale nuova attuazione;
(iii) ogni riferimento a una Parte include riferimenti ai suoi successori, ai cessionari autorizzati e a qualsiasi persona che sia autorizzata ai sensi o mediante lo stesso; i riferimenti all'indirizzo di qualsiasi persona sono considerati, se del caso, un riferimento al suo indirizzo, come attuale di volta in volta in vigore; e
(iv) qualsiasi riferimento a imposte o tasse deve essere interpretato in modo da includere qualsiasi imposta di bollo, trasferimento, ritenuta alla fonte o altra imposta, prelievo, imposta, tassa o altro onere di natura analoga (comprese le penali o gli interessi dovuti in relazione al mancato o ritardato pagamento di una qualsiasi delle stesse).
2. Nomina del Collection Service Provider

2.1 Con il presente, lo Special Servicer nomina SCM quale Collection Service Provider della Cartolarizzazione in relazione ai Crediti Sanitari contenuti nei portafogli affidandogli i compiti e conferendogli i poteri per lo svolgimento, in tale veste, di tutte le attività, funzioni e servizi di cui all’Allegato 2 (Attività di Assistenza Speciale). Nello svolgimento delle Attività di Assistenza Speciale, SCM, quale Collection Service Provider, agisce in qualità di agente in nome e per conto dello Special Servicer (“mandatario con rappresentanza”), anche nell'interesse dell'Emittente e del Rappresentante dei titolari di crediti (agendo per sé stessa e in nome e per conto dei titolari di crediti e degli altri creditori dell'Emittente come definiti nell'Allegato 1 (Definizioni) ai sensi dell'articolo 1723, comma 2 del Codice Civile italiano (“mandato anche nell'interesse del terzo”), le leggi e i regolamenti applicabili (tra cui per evitare dubbi, la Legge sulla Cartolarizzazione e il Regolamento di Attuazione), in conformità alle Politiche di Riscossione di cui al presente Contratto di Mandato Allegato 3 (Politiche di Riscossione) e ai termini e alle condizioni del presente Contratto di Mandato.

I have entered the profession as interpreter and translator back in 1987, I was lucky to start working during over 5 years with a national oil company in the automated systems division designing the remote control of the oil pipeline in Iraq, supplying Europe through the Gulf. It was a fascinating experience working in consecutive during weeks with Iraqi engineers. I consolidated the note-taking and became very agile in consecutive. In 1989 I joined as free lance the EU institutions and entered the largest world of interpretation with 6 languages at first and a few years later 9. I worked full weeks and months acquiring an incredible knowledge of the EU market and Community which was growing at full speed. The world of interpreters in Brussels is unique in terms of professional skills, preparation for meetings, quality standards of colleagues. Free lance interpreters are regularly assessed and working with staff members was a challenge but also an ongoing formation. Topics vary daily from agriculture to politics, trade unions, industry, council meetings, expert committees where national quotas were agreed and voted, veterinary and health emergency meetings. Brussels was and remains a priviledged window on European and national realities. I could read in the press the outcome of a meeting I had been working as interpreter. I have been traveling and living abroad for over 25 years of my life being married to a diplomat and also in my childhood (living in the US, Latin America, the Middle East) practicing my working languages in my daily life and often in Ministerial meetings involving my role as wife of a diplomat. I am familiar with protocol and heads of state visits and meetings, which allowed to work as interpreter for the Italian Presidency of the Republic, PM official visits and bilateral meetings both at home and abroad. I am personally very proud of serving my country while providing the best possible service always aiming at improving the professional level I can provide. Over the years, I continued studying languages and added Spanish as a working language (1993) and I have now completed several years of studies in portuguese gradually using it as a C language in addition to English, French (B languages), Spanish (C,B). For over 6 years now, I am working to and from my B languages (EN,FR,ES,IT><EN,FR,ES,IT) which allows for great flexibility at meetings where I do not need to use relais. Today during the pandemic crisis, this combination of languages is extremely useful since participants attend from all continents and speak in one of the 5 languages which can be covered in one same booth limiting the number of interpreters to be hired.
