Source text - English MEMORANDUM OF AGREEMENT made this 10th day of December 2007, between XXXX, represented by XXXX., Taunusstraβe 38, Frankfurt am Main, Germany, (hereinafter called the Proprietor) of the one part, and XXXX, R. Joaquim XXX andar, Br-20241-110 Rio de Janeiro, Brazil, (hereinafter called the Publisher) of the other part, WHEREAS the Proprietor warrants that he is the sole and exclusive owner of the rights which are the subject of this agreement and WHEREAS it is mutually agreed as follows, regarding the work by XXX, entitled: XXX, hereinafter called the Work.
1. The PROPRIETOR hereby grants to the Publisher for the term of seven years from the date of this agreement the exclusive license to publish the Work in the Portuguese language and to sell copies of such translation in volume form only in a hardcover and/or trade edition throughout the following territories: Brazil.
2. The PUBLISHER shall pay to the Proprietor on the signing of this agreement the sum of 550,00 € (five hundred and fifty Euros), which shall be a non-returnable advance on account of the royalties specified below. These royalties are payable on the full retail price minus VAT of each and every copy sold by the Publisher in his edition. The royalty shall be calculated according to the following scale:
Eight per cent (8%) on copies sold up to 4.000 copies
Ten per cent (10%) on copies sold thereafter.
4. THE PUBLISHER agrees to publish his edition of the Work within six months of the date of this agreement. If the Publisher fails to do so, this agreement shall terminate automatically and all rights licensed hereunder shall revert to the Proprietor without further notice or procedure, and without prejudice to any monies already paid or then due to the Proprietor under the terms of this agreement.
5. THE TRANSLATION of the said Work shall be made faithfully and accurately; abbreviations or alterations may be made in the text thereof only with the written consent of the Proprietor. The Publisher shall, if the Proprietor so requests, submit the full text to the Author for his approval before it goes to press, and grant the Proprietor thirty days in which to respond thereto. Furthermore, the Publisher will send to the Proprietor, for approval,the cover illustrations as well as the biographical note, blurbs and texts of the dustjackets and backcover of this edition before publication, and the Proprietor undertakes to comment on this material by return of mail. The approval by the Proprietor shall not be unreasonably or arbitrarily withheld or delayed. [...]
Translation - Portuguese MINUTA DE CONTRATO celebrada em 10 de dezembro de 2007, entre XXXX, representado pela XXXX., Taunusstraβe 38, Frankfurt am Main, Alemanha, (doravante denominado Proprietário), de um lado, e XXXX, R. Joaquim XXX andar, Br-20241-110 Rio de Janeiro, Brasil, (doravante denominada Editora), do outro, CONSIDERANDO que o Proprietário garante ser o único e exclusivo possuidor dos direitos que são objeto do presente contrato e CONSIDERANDO que fica mutuamente acordado o seguinte, sobre a obra de XXX, intitulada: XXX, doravante denominada a Obra.
1. O PROPRIETÁRIO, por meio deste instrumento, concede à Editora, pelo período de sete anos a partir da data deste contrato, a licença exclusiva para publicar a Obra em português e vender exemplares de tal tradução somente em volumes de capa dura e/ou edição comercial em todo o território brasileiro.
2. A EDITORA pagará ao Proprietário, mediante a assinatura deste contrato, o montante de 550,00 € (quinhentos e cinquenta euros), que constituirá um adiantamento não reembolsável por conta dos royalties abaixo especificados. Esses royalties são pagos sobre o preço integral de varejo, deduzido o imposto sobre o valor agregado de cada exemplar vendido pela Editora em sua edição. O royalty será calculado de acordo com a seguinte escala:
Oito - por cento (8%) sobre exemplares vendidos até 4.000 exemplares; Dez - por cento (10%) sobre exemplares vendidos posteriormente.
4. A EDITORA concorda em publicar sua edição da Obra no prazo de seis meses a contar da data deste contrato. Caso a Editora não proceda deste modo, este contrato será automaticamente rescindido e todos os direitos aqui licenciados serão revertidos para o Proprietário, sem notificação prévia ou processo, e sem prejuízo de eventuais quantias já pagas ou então devidas ao Proprietário, nos termos deste contrato.
5. A TRADUÇÃO da referida Obra será feita com fidelidade e precisão; abreviaturas ou alterações em seu texto somente podem ser feitas com o consentimento escrito do Proprietário. A Editora, mediante pedido do Proprietário, enviará o texto integral ao Autor para a sua aprovação antes de ir para a gráfica, e concederá ao Proprietário trinta dias para respondê-la. Além disso, a Editora enviará ao Proprietário, para sua aprovação, as ilustrações de capa, assim como a nota biográfica, sinopses e textos de sobrecapa e contracapa desta edição antes da publicação, e o Proprietário se compromete a comentar sobre este material respondendo a correspondência. A aprovação do Proprietário não será negada, nem adiada sem motivo cabível ou de modo arbitrário. [...]
