2. La 2° fase inizia quando all\'incertezza subentra il pessimismo, poi la paura, ed infine il panico (panic-selling). I compratori spariscono letteralmente dalle sale di contrattazione e tutti vendono \"al meglio\". La caduta dei prezzi diventa pressoché verticale ed i volumi raggiungono livelli elevatissimi. Al termine di questa fase di panico può aversi una leggera ripresa o movimento laterale dei prezzi, seguiti dalla fase finale del ribasso. Gli investitori che non hanno ancora venduto o che addirittura hanno comprato ritenendo i prezzi convenienti escono dal mercato in questa fase. Le prospettive economiche continuano a peggiorare ed il flusso delle vendite rimane costante, anche se non frenetico.

Si tratta di un periodo esteso, che include fasi in cui il mercato è risultato fortemente up-trend (come ad esempio nel 1998), fasi sideways, cioè di movimento laterale in congestione (come ad esempio nel 1° semestre del 1999), e fasi di forte down-trend (2001-2002).
