Like your Ciccolina 'Naked Owners' answer, but not your arguments. Co. shares not borrowed, unless bearer: not bare-all. UK regd. shares mortgageable, though. There is reversion of a life int/usufruct = Scots liferent. B.O. is NOT the same as beneficiary.

I am sorry but there is no reversal in usufruct.
A beneficial owner would be such also in the case of borrowed shares, i.e. I borrow shares and collect the dividends, hence I am the beneficial owner as long as I hold the shares. Usufruct is different.
nuda proprieta' in home-owning means the property will be full after the decease of the previous owner, hope this helps!

This is really a General Law question.

The shares could be held by trustees in usufruct - i.e. on trust - as nominees who may be the beneficiaries entitled to receive the dividend on behalf of the ben. owners who are the ultimate, de facto owners to whom the shares revert at the end of the nomineeship or trusteeship.

Bare owners or ownership are general terms used in equity & trust, not necessarily of co. shares.

In probate and succession: remaindermen - see Garzanti.

In leasehold land, reversioners or reversionary owners.

The link I provided does not seem to work. Anyway it relates to usufruct in Louisiana (U.S.) and this is what it has to sau about shares:
Since the usufruct is a legal right granted by one person to another, that right can be according to almost any terms the parties agree to. For instance, it could be for a stated term, covering only certain stated properties, it could be set to terminate if certain conditions are met, such as marriage of a child or remarriage of a spouse, it can be granted to several people to share jointly, and it can be given to one person for a period of time and to another after some stated event occurs.

As it relates to corporate stock, the usufructuary has the right to collect and spend the cash dividends and to vote the shares of stock. Since stock dividends are only an adjustment to the total number of shares, stock dividends belong to the naked owner.

The problem here is the different concept of property in the two legal systems, so unfortunately no translation will be entirely satisfactory. You could prefix the term with 'mere', perhaps, to try and make it clear that usufruct is not included (which is the whole sense of nuda proprietà)

Hi Tom and Peter,
when I answered this, I failed to read the context, which I feel is a contradiction of terms. Either you have the "nudo proprietà" or the "usufruct". You can't have both. I feel that the Italian author has got his wires crossed here. In the case of a house, usufruct is living in it and "legal title" only is name on the deed. In the case of shares, for a long time I translated "nudo proprietà" as "legal title only", where a bank held shares as a sort of collateral in a very complex deal. It had beneficial ownership and collected the dividends, but did not have the "usufruct" which in this case consisted of the voting rights and control of the company.
