Le contrat ne pourra être réputé constituer un engagement de mandat ou de société entre les parties ; En conséquence, le Distributeur s'engage à : ne pas déclarer ou agir comme s'il était mandataire ou un associé du Fournisseur, ne pas recevoir de somme d'argent, ou émettre un récépissé au nom et pour le compte du Fournisseur, ne pas contracter d'obligations, ni de faire aucune promesse ou déclaration au nom et pour le compte du Fournisseur.

Rufinus, perhaps you're right. "Represents", yes, "Power of Attorney" No.My own approach is not to use the Red button on the basis that we're all doing our best. Yr thoughts?

I think this clause is establishing that there is no agency agreement between the parties. There may be a better way of expressing this - Non-agency clause??? No agency relationship???
In any case, I wouldn't use "in the absence of..." as this seems to suggest that what follows should provide for what will happen if there is no "mandat", whereas this clause is saying that there shall be no "mandat" (which I believe is agency in this case).

thanks, but as this appears to be a distribution agreement, I believe they are saying that there is no principal-agent relationship.
